Growth and beyond: CR annual confirmation, MISA updates and registration changes after setup

Reviewed by Navas Mohammed Ali, CEOFacts checked

In short

After setup, a Saudi company files a CR annual confirmation every year on business.sa, because CRs no longer expire. Foreign-owned companies also file an annual MISA registration update. Changes to capital, partners, activities, address or branches are registered as the business grows. Our Dammam team keeps a compliance calendar and handles these filings.

Who needs support after company setup

  • Companies we formed, and companies formed elsewhere that want their annual filings handled.
  • Foreign-owned companies with a MISA registration to keep current.
  • Growing companies changing capital, partners, activities, address or branches.

Who it is not for

  • Job seekers, iqama transfer requests and “free visa” requests. We work with companies only.
  • Bookkeeping and tax returns. We arrange these through partner firms and say so up front.

How we handle the CR annual confirmation and changes after setup

  1. 01

    Build your compliance calendar

Our team lists every recurring date for your company in one calendar. That covers the CR annual confirmation, any MISA update window and the end of the 3-year chamber exemption. It also tracks VAT and e-invoicing thresholds. We remind you ahead of each date and prepare the filing early.

  2. 02

    Confirm the CR every year

The CR annual confirmation is filed online on business.sa and completes immediately. Activities, licences, the National Address and contacts are updated at the same time. Foreign-owned companies need a valid MISA registration to confirm. Confirming early is allowed.

Platform: business.sa (Saudi Business Center)Time: Completes immediately once filed (Ministry of Commerce)

  3. 03

File the MISA annual update (foreign-owned companies)

A MISA registration is not renewed but updated each year, within the 60 working days before the due date. The foreign parent's home CR must still be valid. MISA's guide gives 5 working days for the update, and MISA sets the fee on approval.

Platform: MISA Electronic Services PortalTime: 5 working days (MISA Investor Guide)

  4. 04

Register changes as the business grows

Capital and partner changes are registered with the Ministry of Commerce by amending the Articles of Association. In a restricted activity, an ownership change needs MISA approval first. Changing activities on a MISA registration is free. New branches now sit under the company's single CR.

Platform: business.sa and MISATime: Varies by change

  5. 05

    Handle moves and new premises

The CR is valid nationwide, so moving region needs no new CR. A foreign-owned company must tell MISA within 10 working days of changing premises. New premises may need a Balady licence, which our team also handles.

Platform: business.sa, MISA and BaladyTime: Within 10 working days for MISA (MISA Investor Guide)

  6. 06

Keep employer records and renewals current

As you hire, we keep your GOSI, Qiwa and Mudad records up to date. All private employers file wage files through Mudad. We also track licences and permits with renewal dates, and handle each renewal.

    Platform: GOSI, Qiwa, MudadTime: Varies

Documents for annual filings and registration changes

For annual filings and registration changes, we usually ask for:

  • A power of attorney or platform authorisation for our team, so we never need your passwords.
  • The current Articles of Association and CR details.
  • The foreign parent's valid home CR, for the MISA annual update.
  • A partners' resolution approving any change to capital, partners or activities.
  • ID for any new partner or manager.
  • The new Ejar lease, for an address change or new premises.

The exact list depends on the change and the company's ownership. We confirm it before filing.

Our fee

Our fee for after-setup support is quoted after a short first call, once we know your company and what it needs each year. We always show it separately from government fees.

Government fees checked on 22 October 2026 against the sources listed below. The Ministry of Commerce fee page refers to branch CR data, and law firms read the same fees as applying to the main CR. MISA publishes no fixed fee amount, so we do not quote one.

What changed in 2025 and 2026

CR renewal is now annual confirmation

Since the Commercial Registration Law took effect in April 2025, CRs no longer expire. The company confirms its CR data every year on business.sa. Three months after a missed confirmation, a fine applies and the CR is suspended. After a year of suspension, it is cancelled permanently.

MISA licence renewal is now the annual registration update

Since February 2025, foreign investors register with MISA instead of holding a licence. The registration is not renewed. Instead, you file an annual update within the 60 working days before the due date, and missing it may mean registering again.

E-invoicing Phase 2 reaches more VAT payers

ZATCA's Wave 25 covers taxpayers with VAT revenue above SAR 187,500 in any year from 2022 to 2025. Their integration deadline is 1 February 2027. We tell you whether your company is in scope and work with your accountant on the next steps.

CR annual confirmation and after-setup questions

What is the CR annual confirmation?

It is the yearly confirmation of a company's commercial registration data on business.sa. It replaced CR renewal when CRs stopped expiring in April 2025. Activities, licences, the National Address and contacts are updated at the same time.

How much does the CR annual confirmation cost?

Law firms read the fee as SAR 1,200 for an LLC and SAR 1,600 for a JSC or SJSC. For a general or limited partnership, it is SAR 1,000. The Ministry of Commerce fee page refers to branch CR data, so we confirm the amount when filing.

What happens if I miss the CR annual confirmation?

After 3 months, a fine applies and the CR is suspended automatically. After a year of suspension, the CR is cancelled permanently and cannot be reinstated. Confirming early is allowed, so we file well before the date.

Does a MISA registration need renewing every year?

No. It is kept current through an annual registration update, filed within the 60 working days before the due date. The foreign parent's home CR must still be valid. MISA sets the update fee on approval.

How do I change my company's capital or partners?

You amend the Articles of Association and register the change with the Ministry of Commerce. If the company is foreign-owned and in a restricted activity, an ownership change needs MISA approval first. We prepare the resolution and file the change.

Do I need a new CR to open a branch?

No. Since April 2025, one CR covers all of a company's activities and branches, and branch CRs are no longer issued. Existing branch registers have until around April 2030 to regularise. A new branch premises may still need its own Balady licence.

Do I need a new CR if the company moves city?

No. The CR is valid nationwide, so moving region needs no new CR. The National Address is updated on business.sa. A foreign-owned company must also tell MISA within 10 working days.

Do you handle iqama transfers or visa requests for individuals?

No. We work with companies, and we do not handle job seeking, iqama transfer or “free visa” requests. For the companies we support, our team handles the government work that follows setup.
